Terms and Conditions + Privacy Policy

By using our website or purchasing our services you accept these Terms and our Privacy Policy.
1. What we do
We provide packaged and bespoke IT services for small to medium businesses, including:

Business Starter Plans (Wix website from template, domain connection, Microsoft 365 account setup and ongoing plan management as described on the service page)

VoIP setup using SIPTalk plans (startup number, user setup, call flows and porting support)

Windows 10 to 11 upgrade services
-
General IT consulting, SOE design, lifecycle and cloud setup on request
-
Service-specific inclusions and exclusions appear on each product page and in your quote.
2. Website terms of use

Content is general information and may change without notice.
-
You must not misuse the site, attempt unauthorised access or introduce malicious code.

We may link to third parties. We are not responsible for their content or availability.
3. Quotes, scope and changes

Quotes are valid for 14 days unless stated otherwise.

Scope is limited to what is listed in the quote or package page.

Out-of-scope requests, change requests and rework are billed separately at our current rates.

Project timelines depend on your timely content, approvals and access.
4. Setup fees, plans and billing

One-time setup fee: as stated on the package page or your quote. Setup fees are payable upfront and non-refundable.

Monthly plans: billed in advance and renew month-to-month until cancelled under clause 8.

Prices are in AUD and exclude GST unless stated otherwise. We may adjust pricing with 30 days notice.
Upgrades and downgrades

You may upgrade to a higher plan at any time.

Downgrades are not available once a plan is active due to differing configuration and support levels.
Late or unpaid invoices

Payment terms are 30 days from invoice date.

If an invoice is overdue, services may be suspended until payment is received.

A late fee of the greater of $25 or 1.5% per month may apply.
-
A reinstatement fee may apply to reactivate suspended services.
Payment methods and any card surcharges will be stated on your invoice.
5. Ownership and platforms

Domains: registered in the client’s name wherever possible.
-
Microsoft 365: accounts are set up for you. Licences may be billed by us or directly by Microsoft as agreed.

Website content: text, images and branding created for you are yours once invoices are paid in full.

Platforms: Wix, Microsoft 365, SIPTalk and any other platforms are provided under their own licences and terms. We manage configuration but do not transfer ownership of those platforms.

If you end services, we can provide assistance to transition your domain, content, or accounts to another provider. This work is not included in your plan and will be charged at our standard hourly rate (or quoted separately). Platform access continues subject to the third party’s terms and your settlement of outstanding fees.
6. Support and limitations

Helpdesk, phone, remote and onsite support are not included in package pricing.

Plans include email instructions for device setup only.

Remote or onsite help can be provided at additional cost and quoted based on time and complexity.

We are not responsible for outages, changes or incidents caused by third-party providers.
7. Service-specific notes
7.1 Business Starter Plans (Wix + Microsoft 365)

Websites are built from template. Custom design or custom code is separate and will be quoted.

Wix Light hosting includes SSL via Wix after domain connection.
-
Content supply, image rights and proof approvals are your responsibility.
7.2 VoIP and SIPTalk setup
-
You pay SIPTalk for monthly service fees unless agreed otherwise. We provide setup and configuration only.

Number porting depends on carrier approval and timeframes outside our control.
-
Emergency calling: VoIP calling can be affected by power or internet outages. Calls to 000 may not connect during an outage. Keep an alternative method for emergency calls.

Use must comply with Australian law, ACMA rules and SIPTalk’s Acceptable Use Policy.
7.3 Windows 10 to Windows 11 upgrades

Some devices may not meet Microsoft’s hardware requirements and may need replacement.

You are responsible for backing up data before upgrades unless you engage us to perform managed backup.

We are not liable for data loss where a verified backup was not in place.
8. Cancellations

Month-to-month plans can be cancelled with 30 days written notice.

Monthly fees already paid are non-refundable.
-
Third-party subscriptions continue until you cancel them with the provider or as agreed in writing.
9. Client responsibilities

Provide accurate information, timely approvals and system access needed to deliver services.

Ensure you have rights to all content you supply to us.
-
Keep your account credentials secure and notify us of any suspected compromise.
10. Warranties and liability

We provide services with due care and skill. To the extent permitted by law, we exclude implied warranties.

Our total liability for any claim is limited to the fees paid in the 30 days before the event giving rise to the claim.

We are not liable for indirect or consequential loss, loss of profit, data loss or third-party outages.
11. Privacy Policy (Australian Privacy Principles)
11.1 What we collect
We may collect your name, business details, contact information, billing details, support requests and technical configuration needed to deliver services. For website visitors we may collect IP address, device details and basic analytics.

11.3 Disclosure
We may share data with trusted service providers who help us operate, for example Wix, Microsoft, SIPTalk, email and payment processors. We require them to handle data securely and only for the purpose provided. We may disclose information if required by law.
11.4 Storage and security
We take reasonable steps to protect personal information against misuse, interference, loss, unauthorised access, modification or disclosure. Some providers may store data overseas depending on their infrastructure.
11.5 Cookies and analytics
Our website may use cookies and similar technologies for basic functionality and aggregated analytics. You can adjust your browser settings to refuse cookies. If we use Google Analytics or similar tools, we only receive aggregated insights and do not identify individuals.
11.6 Access, correction and complaints
You can request access to, or correction of, your personal information by contacting us at support@indigitalco.com.au. If you have a privacy complaint, contact us first. If unresolved, you can contact the Office of the Australian Information Commissioner (OAIC).
12. Intellectual property
Our pre-existing materials, methods and tools remain our IP. We grant you a licence to use deliverables for your business once invoices are paid in full.
13. Marketing references
We may display your business name and logo as a client and show non-confidential samples of work. You can opt out by emailing us.
14. Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of third-party platforms.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia. The courts of NSW have exclusive jurisdiction.
